The General Meeting of Shareholders of Indra Group Rafitifa to Ángel Escribano as Executive President with the support of 98.4% of the shareholders

The Ordinary General Meeting of Shareholders of Indra, held today June 26, 2025 at the company’s headquarters in Alcobendas, Madrid, has ratified and re -elected Ángel Escribano as executive president of the company, with the support of a large majority, of 98.49%, of the shareholders, which represents a support to its management in these five months at the head of the company and the strong impulse that has given its transformation.

The shareholders present or represented in the Board have approved the annual accounts, the management report and the sustainability report of 2024 of the group, as well as the payment of a dividend of twenty -five cents of euro (0.25 euros) gross per share with charge to the benefits of last year, which will be effective on July 10.

Deloitte Auditors will remain one more year as a auditor of the company and its consolidated group and verifier of sustainability information of 2025, while PricewaterhouseCoopers auditors will become the auditor for exercises 2026, 2027 and 2028, after the support of the shareholders.

The management in 2024 of the Board of Directors, as well as the appointment of Eva Fernández Góngora and Oriol Piña Salomó as independent counselors, and the re -election as Sunday counselors of Jokin Aperribay, which represents Sapa Placencia; and Antonio Cuevas and Miguel Sebastián, as vowels of the SEPI. The Board of Directors thus has a fifty percent of independent directors and meets the objectives of joint representation and balanced presence of women and men, established in Organic Law 2/2024, of August 1.

Likewise, the shareholders have endorsed the modification of article 2 of the Social Statutes in order to incorporate more detail in the activities that Indra currently performs and complement with those that, in execution of the strategic plan, Indra will develop, directly or indirectly, in the future, for example, the design, engineering, development, manufacture and marketing of land military vehicles, air and spatial vehicles, among others.

Ángel Escribano has detailed the priority lines of action that structure the “growth ambition” of the company and with which it will be “the engine of the industry” ´ through Indra Space, Indra Land Vehicles and Indramind, “which will become a sovereign reference platform, capable of competing with the great global actors reinforcing the European sovereignty and security in cybersecurity in cybersecurity.

The Executive President also highlighted in his speech the creation of Indra Weapons & Ammunition to become «the Spanish national prime into intelligent weapons systems, contributing to the development of a more autonomous and competitive industrial basis in Spain in Spain and Europe.» To do this, Indra aspires to build an offer of high technological value based on promoting guidance capabilities, unmanned systems, such as merodeters, directed energy and laser effectors; accelerate the anti-Dron systems business; and integrate self -defense systems into platforms.

Crescent ambition of the Leading The Future Plan

For his part, the CEO of Indra Group, José Vicente de los Mozos, stood out during his speech at the Board of Shareholders that the year 2024 and the first months of 2025 have been key to the deployment of the Leading the Future Strategic Plan, whose “ambition has been increased with the arrival of the new president and is today fully incorporated into the organization”. «Throughout these months, we have redefined priorities, reoriented investments and activated structural changes that position us better to compete and grow,» he said.
The CEO has detailed the priorities for 2025, among which are to reinforce the focus on aerospace and defense with the launch of the two new businesses, Indra Land Vehicles and Indra Weapons & Ammunition; Complete the integration of Indra Space; continue the transformation of Minsait; and boost Indramind business.

In relation to possible mergers and acquisitions, from the young men he has affirmed that Indra Group “will continue to advance in the portfolio rotation, giving continuity to the strategy initiated in 2024, the year in which we integrate eight companies into the group. We will continue to analyze companies that provide us with new competences, integration into strategic markets and acceleration of industrialization”.

According to the CEO of Indra Group, «another priority will be the deployment of our industrial plan to reinforce our operational autonomy, optimize costs, reduce deadlines and guarantee delivery, with the ultimate goal of ensuring the sovereignty of Spain and Europe.»

To support these priorities, Indra Group is implementing a new organization, with six new additions to the group’s management committee, «five of them via internal promotion, which speaks of the good health of internal talent.»

Both the executive president and the CEO of Indra Group have expressed, in that sense, their thanks to all Indra employees for their dedication and commitment and have underlined their fundamental role in the company’s successes.

Objectives 2025

Indra Group has confirmed the objectives set by 2025: in sales, exceed 5,200 million euros; which represents a growth of more than 7% compared to 2024; In Ebit, exceed 490 million euros, which represents 9.4% Ebit; and a free cash flow greater than 300 million euros. In addition, as explained by the CEO, «we have marked the objective of duplicating the hiring in defense throughout 2025 with respect to 2024, which would exceed 2,000 million euros.»
