The artificial intelligence infrastructure company, based in Livingston, New Jersey, offers the bonds maturing in 2031 with a coupon of 1.5% to 2%, according to sources familiar with the matter. Shares fell as much as 7% to $82.10 in pre-market trading.
The artificial intelligence firm will issue the convertible bonds in a private offerwith the option to increase the offer by 300 million additional dollarsas reported by the company in a statement. The bonds are sold with a conversion premium from 25% to 30%according to the sources, who asked not to be identified because the information is not public.
The offering is scheduled to be priced after the market closes on Monday, the sources added. A company representative declined to comment beyond the details in the news release.
CoreWeave, which held its initial public offering in March, has attracted investors interested in the I-spending boomA. The company is a close partner of AI chip maker Nvidia and counts OpenAI and Microsoft among its customers.
The firm will use part of the proceeds to carry out a derivatives transaction intended to reduce the risk of dilution of its shares if the notes are converted into shares. The rest of the proceeds will go towards keeping your business going.
